Director Certification Program 7th Batch

The first day of the MIoDโ€™s Director Certification Program (DCP), Batch 7 started on 18th August 2022 as a 3-day program at the Novotel Yangon Max.

MIoDโ€™s Chair ๐——๐—ฎ๐˜„ ๐—ช๐—ถ๐—ป ๐—ช๐—ถ๐—ป ๐—ง๐—ถ๐—ป๐˜ kicked off the opening address and Chair of the MIoDโ€™s Learning Committee, ๐Œ๐ฌ. ๐•๐ข๐œ๐ค๐ฒ ๐๐จ๐ฐ๐ฆ๐š๐ง facilitated the first session on corporate governance, and the business case followed by MIoDโ€™s facilitator, ๐ƒ๐š๐ฐ ๐“๐ก๐ฎ๐ณ๐š๐ซ ๐–๐ข๐ง on the roles and responsibilities of effective boards. The attendees also learned board composition and structure facilitated by ๐ƒ๐š๐ฐ ๐–๐š๐ก ๐–๐š๐ก ๐Œ๐ข๐ง as well as the legal provisions concerning corporate governance in Myanmar, particularly directorโ€™s rights and duties, and disclosure from ๐Œ๐ซ. ๐’๐ญ๐ž๐Ÿ๐š๐ง ๐‚๐ก๐š๐ฉ๐ฆ๐š๐ง and ๐” ๐’๐ฎ๐ง ๐–๐ข๐ง shared insightful knowledge on Listing Criteria and Listing Rules for Listed Companies.

Around 35 participants, mostly directors, board members and senior management of Myanmar companies joined the Program.

Day 2 of the ๐ƒ๐ข๐ซ๐ž๐œ๐ญ๐จ๐ซ ๐‚๐ž๐ซ๐ญ๐ข๐Ÿ๐ข๐œ๐š๐ญ๐ข๐จ๐ง ๐๐ซ๐จ๐ ๐ซ๐š๐ฆ resumed on 19th August 2022 with ๐˜ฟ๐™ž๐™ง๐™š๐™˜๐™ฉ๐™ค๐™ง๐™จ, ๐˜ฟ๐™ž๐™จ๐™˜๐™ก๐™ค๐™จ๐™ช๐™ง๐™š ๐™–๐™ฃ๐™™ ๐™๐™š๐™ฅ๐™ค๐™ง๐™ฉ๐™ž๐™ฃ๐™œ by Ms. Vicky Bowman as an interactive session where the attendees worked together into small groups on the case studies with different scenarios and presented a variety of perspectives. The session was later followed by ๐˜ฝ๐™ค๐™–๐™ง๐™™ ๐™€๐™›๐™›๐™š๐™˜๐™ฉ๐™ž๐™ซ๐™š๐™ฃ๐™š๐™จ๐™จ focusing on the four pillars influencing effective Boards as well as ๐™€๐™ฃ๐™ฉ๐™š๐™ง๐™ฅ๐™ง๐™ž๐™จ๐™š ๐™๐™ž๐™จ๐™  ๐™ˆ๐™–๐™ฃ๐™–๐™œ๐™š๐™ข๐™š๐™ฃ๐™ฉ (๐™€๐™๐™ˆ)in Corporate Governance, how risks should be managed, and the role of the Board.

U Myo Min shared insightful knowledge on the ๐™ˆ๐™ฎ๐™–๐™ฃ๐™ข๐™–๐™ง ๐˜พ๐™ค๐™ข๐™ฅ๐™–๐™ฃ๐™ž๐™š๐™จ ๐™‡๐™–๐™ฌ ๐™–๐™ฃ๐™™ ๐™ˆ๐™ฎ๐˜พ๐™ค while Daw Khaing Zar Aung and Ms. Noelle Tan gave an ๐™Š๐™ซ๐™š๐™ง๐™ซ๐™ž๐™š๐™ฌ ๐™ค๐™› ๐™‚๐™š๐™ฃ๐™š๐™ง๐™–๐™ก ๐™๐™š๐™ž๐™ฃ๐™จ๐™ช๐™ง๐™–๐™ฃ๐™˜๐™š ๐™ˆ๐™–๐™ง๐™ ๐™š๐™ฉ that Directors in Myanmar needs to be aware of. MIoDโ€™s facilitators, Daw Wah Wah Min and Daw Thuzar Win focused on ๐™๐™–๐™ข๐™ž๐™ก๐™ฎ ๐˜ฝ๐™ช๐™จ๐™ž๐™ฃ๐™š๐™จ๐™จ ๐™–๐™ฃ๐™™ ๐™Ž๐™ช๐™˜๐™˜๐™š๐™จ๐™จ๐™ž๐™ค๐™ฃ ๐™‹๐™ก๐™–๐™ฃ๐™ฃ๐™ž๐™ฃ๐™œ with interactive case studies.

Day 2 is completed with the session ๐™๐™š๐™จ๐™ฅ๐™ค๐™ฃ๐™จ๐™ž๐™—๐™ก๐™š ๐™–๐™ฃ๐™™ ๐™๐™š๐™จ๐™ฅ๐™ค๐™ฃ๐™จ๐™ž๐™ซ๐™š ๐˜ฝ๐™ค๐™–๐™ง๐™™ ๐™‡๐™š๐™–๐™™๐™š๐™ง๐™จ๐™๐™ž๐™ฅ discussing what a companyโ€™s โ€˜Purposeโ€™ is, and how a company can operate responsibly and work collectively with others in support of sustainable development.

Day 3 was all about the finance basics that Directors need to understand covered by MIoDโ€™s facilitator, Daw Kim Chawsu, including an ๐Ž๐ฏ๐ž๐ซ๐ฏ๐ข๐ž๐ฐ ๐จ๐Ÿ ๐‚๐จ๐ซ๐ฉ๐จ๐ซ๐š๐ญ๐ž ๐…๐ข๐ง๐š๐ง๐œ๐ž, and ๐ฐ๐ก๐š๐ญ ๐…๐ข๐ง๐š๐ง๐œ๐ข๐š๐ฅ ๐’๐ญ๐š๐ญ๐ž๐ฆ๐ž๐ง๐ญ๐ฌ ๐๐จ ๐š๐ง๐ ๐๐จ๐งโ€™๐ญ ๐ญ๐ž๐ฅ๐ฅ ๐ฒ๐จ๐ฎ. This was followed by ๐…๐ข๐ง๐š๐ง๐œ๐ข๐š๐ฅ ๐’๐ญ๐š๐ญ๐ž๐ฆ๐ž๐ง๐ญ ๐€๐ง๐š๐ฅ๐ฒ๐ฌ๐ข๐ฌ including common sized financial statements and ratios. The attendees also learned about the ๐€๐œ๐œ๐จ๐ฎ๐ง๐ญ๐ข๐ง๐  ๐Ÿ๐ซ๐š๐ฎ๐ ๐š๐ง๐ ๐ข๐ง๐ญ๐ž๐ซ๐ง๐š๐ฅ ๐œ๐จ๐ง๐ญ๐ซ๐จ๐ฅ๐ฌ by Daw Thin Thin Myat.

After taking a short test of the corporate governance knowledge which had been covered in the sessions, Ms. Vicky Bowman reflected on the topics covered in the course and raise points and questions about what they mean for corporate governance in Myanmar today as well as opportunities to take the personal learning journey about corporate governance, and tools and resources shared.ย

The certified directors were then awarded their certificates by Chair of the Learning Committee ๐Œ๐ฌ. ๐•๐ข๐œ๐ค๐ฒ ๐๐จ๐ฐ๐ฆ๐š๐ง and concluded the day with a group photo.
