The MIoD’s third Annual General Meeting 2022 was held on 23rd June 2022. Given the COVID-19 guidelines this years’ AGM was held electronically by live-stream on Zoom in the interests of safety for our fellow members.
The meeting was led by U Thura Ko Ko, who was appointed as the AGM Chair, followed by Daw Thiri Thant Mon, CEO of MIoD, who presented the CEO’s Annual Report, and the Auditors reviewed the Audit Statement. There were 9 resolutions voted by the member at the AGM and by proxy forms, which appointed new directors, re-appointed the current auditors of the MIoD until the next AGM and adoption of financial statements. All resolutions were passed.
We would like to congratulate the re-elected board members, Daw Muyar Lunbeck, Dr. Tun Thura Thet and Daw Khine Sandar Min and newly elected board members, Daw Thiri Thant Mon, Dr. Su Hla Han and U Aung Myat Khaing. For the six vacant seats, nine members put themselves forward for election and 71 members participated in the voting process.
The Board and the management of MIoD sincerely thank all of our past and present supporters, members and trainers who have been crucial to enable the activities of MIoD. Your continued presence and contribution to the MIoD is highly valued by our Board and fellow members. The Batch 2 Finance for Directors Program restarted on 28th May 2022 as two days in-person program at the Novotel Yangon Max. The Chair of the MIoD’s Learning Committee, kicked off an Opening Remarks. The Program delivered the relationship between corporate governance, directors and finance knowledge and the responsibilities of management, directors, auditors and stakeholders followed by the in-depth focus on the Financial Governance. Later it conducted the Basics of Interpreting Financial Statements by reviewing their component parts and developing ways in analysing business/financial information followed by Accounting Fraud and Internal Control which is an increasingly important part of board’s function.
Day 2 of the 𝗙𝗶𝗻𝗮𝗻𝗰𝗲 𝗳𝗼𝗿 𝗗𝗶𝗿𝗲𝗰𝘁𝗼𝗿𝘀 𝗣𝗿𝗼𝗴𝗿𝗮𝗺 continued 29𝘵𝘩 𝘔𝘢𝘺 2022 with the 𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗻𝗴 𝘁𝗵𝗲 𝗟𝗶𝗳𝗲 𝗖𝘆𝗰𝗹𝗲 𝗼𝗳 𝘁𝗵𝗲 𝗕𝘂𝘀𝗶𝗻𝗲𝘀𝘀 where attendees learnt the Diverse sources of funding, Debt options and issues, Equity options and issues, other alternatives together with Nature and purpose of financial information.
The session is then followed by the 𝗚𝗼𝘃𝗲𝗿𝗻𝗮𝗻𝗰𝗲 𝗼𝗳 𝗘𝘅𝘁𝗲𝗿𝗻𝗮𝗹 𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗮𝗹 𝗥𝗲𝗽𝗼𝗿𝘁𝗶𝗻𝗴 where it reviewed Board and Audit Committee role in financial reporting, Competence of the finance team, Overseeing the integrity of financial statements and other key information, Common weaknesses in the financial reporting process, Oversight of the external auditor, Audit quality, Audit scope and approach, Auditor independence and qualifications and Engagement with the external auditor.
The attendees later worked together in 𝙂𝙧𝙤𝙪𝙥𝙨 on the case study of overviewing the Myanmar and International companies annual reports. The 𝗖𝗘𝗢 𝗼𝗳 𝗠𝗜𝗼𝗗 gave the closing remarks with the knowledge sharing topic on 𝑆𝑢𝑠𝑡𝑎𝑖𝑛𝑎𝑏𝑖𝑙𝑖𝑡𝑦: 𝑊ℎ𝑎𝑡 𝐵𝑜𝑎𝑟𝑑𝑠 𝑆ℎ𝑜𝑢𝑙𝑑 𝐾𝑛𝑜𝑤 𝑎𝑛𝑑 𝐷𝑜.
