The first day of the MIoD’s Director Certification Program (DCP), Batch 7 started on 18th August 2022 as a 3-day program at the Novotel Yangon Max.
MIoD’s Chair 𝗗𝗮𝘄 𝗪𝗶𝗻 𝗪𝗶𝗻 𝗧𝗶𝗻𝘁 kicked off the opening address and Chair of the MIoD’s Learning Committee, 𝐌𝐬. 𝐕𝐢𝐜𝐤𝐲 𝐁𝐨𝐰𝐦𝐚𝐧 facilitated the first session on corporate governance, and the business case followed by MIoD’s facilitator, 𝐃𝐚𝐰 𝐓𝐡𝐮𝐳𝐚𝐫 𝐖𝐢𝐧 on the roles and responsibilities of effective boards. The attendees also learned board composition and structure facilitated by 𝐃𝐚𝐰 𝐖𝐚𝐡 𝐖𝐚𝐡 𝐌𝐢𝐧 as well as the legal provisions concerning corporate governance in Myanmar, particularly director’s rights and duties, and disclosure from 𝐌𝐫. 𝐒𝐭𝐞𝐟𝐚𝐧 𝐂𝐡𝐚𝐩𝐦𝐚𝐧 and 𝐔 𝐒𝐮𝐧 𝐖𝐢𝐧 shared insightful knowledge on Listing Criteria and Listing Rules for Listed Companies.
Around 35 participants, mostly directors, board members and senior management of Myanmar companies joined the Program.
Day 2 of the 𝐃𝐢𝐫𝐞𝐜𝐭𝐨𝐫 𝐂𝐞𝐫𝐭𝐢𝐟𝐢𝐜𝐚𝐭𝐢𝐨𝐧 𝐏𝐫𝐨𝐠𝐫𝐚𝐦 resumed on 19th August 2022 with 𝘿𝙞𝙧𝙚𝙘𝙩𝙤𝙧𝙨, 𝘿𝙞𝙨𝙘𝙡𝙤𝙨𝙪𝙧𝙚 𝙖𝙣𝙙 𝙍𝙚𝙥𝙤𝙧𝙩𝙞𝙣𝙜 by Ms. Vicky Bowman as an interactive session where the attendees worked together into small groups on the case studies with different scenarios and presented a variety of perspectives. The session was later followed by 𝘽𝙤𝙖𝙧𝙙 𝙀𝙛𝙛𝙚𝙘𝙩𝙞𝙫𝙚𝙣𝙚𝙨𝙨 focusing on the four pillars influencing effective Boards as well as 𝙀𝙣𝙩𝙚𝙧𝙥𝙧𝙞𝙨𝙚 𝙍𝙞𝙨𝙠 𝙈𝙖𝙣𝙖𝙜𝙚𝙢𝙚𝙣𝙩 (𝙀𝙍𝙈)in Corporate Governance, how risks should be managed, and the role of the Board.
U Myo Min shared insightful knowledge on the 𝙈𝙮𝙖𝙣𝙢𝙖𝙧 𝘾𝙤𝙢𝙥𝙖𝙣𝙞𝙚𝙨 𝙇𝙖𝙬 𝙖𝙣𝙙 𝙈𝙮𝘾𝙤 while Daw Khaing Zar Aung and Ms. Noelle Tan gave an 𝙊𝙫𝙚𝙧𝙫𝙞𝙚𝙬 𝙤𝙛 𝙂𝙚𝙣𝙚𝙧𝙖𝙡 𝙍𝙚𝙞𝙣𝙨𝙪𝙧𝙖𝙣𝙘𝙚 𝙈𝙖𝙧𝙠𝙚𝙩 that Directors in Myanmar needs to be aware of. MIoD’s facilitators, Daw Wah Wah Min and Daw Thuzar Win focused on 𝙁𝙖𝙢𝙞𝙡𝙮 𝘽𝙪𝙨𝙞𝙣𝙚𝙨𝙨 𝙖𝙣𝙙 𝙎𝙪𝙘𝙘𝙚𝙨𝙨𝙞𝙤𝙣 𝙋𝙡𝙖𝙣𝙣𝙞𝙣𝙜 with interactive case studies.
Day 2 is completed with the session 𝙍𝙚𝙨𝙥𝙤𝙣𝙨𝙞𝙗𝙡𝙚 𝙖𝙣𝙙 𝙍𝙚𝙨𝙥𝙤𝙣𝙨𝙞𝙫𝙚 𝘽𝙤𝙖𝙧𝙙 𝙇𝙚𝙖𝙙𝙚𝙧𝙨𝙝𝙞𝙥 discussing what a company’s ‘Purpose’ is, and how a company can operate responsibly and work collectively with others in support of sustainable development.
Day 3 was all about the finance basics that Directors need to understand covered by MIoD’s facilitator, Daw Kim Chawsu, including an 𝐎𝐯𝐞𝐫𝐯𝐢𝐞𝐰 𝐨𝐟 𝐂𝐨𝐫𝐩𝐨𝐫𝐚𝐭𝐞 𝐅𝐢𝐧𝐚𝐧𝐜𝐞, and 𝐰𝐡𝐚𝐭 𝐅𝐢𝐧𝐚𝐧𝐜𝐢𝐚𝐥 𝐒𝐭𝐚𝐭𝐞𝐦𝐞𝐧𝐭𝐬 𝐝𝐨 𝐚𝐧𝐝 𝐝𝐨𝐧’𝐭 𝐭𝐞𝐥𝐥 𝐲𝐨𝐮. This was followed by 𝐅𝐢𝐧𝐚𝐧𝐜𝐢𝐚𝐥 𝐒𝐭𝐚𝐭𝐞𝐦𝐞𝐧𝐭 𝐀𝐧𝐚𝐥𝐲𝐬𝐢𝐬 including common sized financial statements and ratios. The attendees also learned about the 𝐀𝐜𝐜𝐨𝐮𝐧𝐭𝐢𝐧𝐠 𝐟𝐫𝐚𝐮𝐝 𝐚𝐧𝐝 𝐢𝐧𝐭𝐞𝐫𝐧𝐚𝐥 𝐜𝐨𝐧𝐭𝐫𝐨𝐥𝐬 by Daw Thin Thin Myat.
After taking a short test of the corporate governance knowledge which had been covered in the sessions, Ms. Vicky Bowman reflected on the topics covered in the course and raise points and questions about what they mean for corporate governance in Myanmar today as well as opportunities to take the personal learning journey about corporate governance, and tools and resources shared.
The certified directors were then awarded their certificates by Chair of the Learning Committee 𝐌𝐬. 𝐕𝐢𝐜𝐤𝐲 𝐁𝐨𝐰𝐦𝐚𝐧 and concluded the day with a group photo.

The MIoD organised the Governance for Directors Program on 27th and 28th July 2022 as a Zoom Online Program. The Chair of the MIoD’s Learning Committee kicked off with an Opening Remarks.
During this Program the attendees were able to learn the basic corporate governance principles and why they are important for Myanmar companies, the role, structure, and function of the board of directors, best practices to improve management control functions, including audit, risk, and internal control and other pertinent governance topics such as shareholder rights, conduct, and disclosure.

The MIoD’s third Annual General Meeting 2022 was held on 23rd June 2022. Given the COVID-19 guidelines this years’ AGM was held electronically by live-stream on Zoom in the interests of safety for our fellow members.
The meeting was led by U Thura Ko Ko, who was appointed as the AGM Chair, followed by Daw Thiri Thant Mon, CEO of MIoD, who presented the CEO’s Annual Report, and the Auditors reviewed the Audit Statement. There were 9 resolutions voted by the member at the AGM and by proxy forms, which appointed new directors, re-appointed the current auditors of the MIoD until the next AGM and adoption of financial statements. All resolutions were passed.
We would like to congratulate the re-elected board members, Daw Muyar Lunbeck, Dr. Tun Thura Thet and Daw Khine Sandar Min and newly elected board members, Daw Thiri Thant Mon, Dr. Su Hla Han and U Aung Myat Khaing. For the six vacant seats, nine members put themselves forward for election and 71 members participated in the voting process.
The Board and the management of MIoD sincerely thank all of our past and present supporters, members and trainers who have been crucial to enable the activities of MIoD. Your continued presence and contribution to the MIoD is highly valued by our Board and fellow members.
